IICO is an indirect, wholly-owned subsidiary of Waddell & Reed Financial, Inc., which is a publicly
held company listed on the New York Stock Exchange under "WDR". WDR is engaged, through its
subsidiaries, primarily in the business of providing investment advisory, distribution, transfer
agency and related services to registered investment companies and investment advisory services
to private and institutional investors.
U.S. Mutual Funds for which IICO serves as investment adviser are distributed through its
affiliate, Ivy Funds Distributor Inc. ("IFDI"). IFDI is a registered broker-dealer with the SEC and
files Forms BD describing its ownership, business and staff.
IFDI may have agreements with unaffiliated distributors of the Ivy Funds, which provide for IFDI
to pay fees to such distributors based on a percentage of assets and/or a fixed amount per
shareholder account. IFDI makes payments to such distributors from its own resources and from
